Definitions;
Woocommerce “Tikhetaf”; located in Purmerend under Chamber of Commerce number 65160223.
Customer: the person with whom Woocommerce “Tikhetaf” has entered into an agreement.
Parties: Woocommerce “Tikhetaf” and customer together.
Consumer: a customer who is also an individual and who acts as a private person.
Article 1. Prohibited Activities
You will only accept and process payments via Woocommerce “Tikhetaf”’s Payment Module for the lawful sale of legal goods and services according to the country of residence of the Company and the country of residence of the Customer and according to the Netherlands. There are certain categories of companies and activities for which the Payment Services cannot be used. Most of these categories are imposed by the Financial Institutions and Intermediary(s) and applicable Regulations, which are used by Woocommerce “Tikhetaf” for the processing of Transaction(s). Woocommerce “Tikhetaf” maintains a list of prohibited activities. The full list of prohibited activities, products and services is provided by Woocommerce “Tikhetaf” follows;
We do not accept products and services that pose or could pose an unacceptable risk to the reputation of Woocommerce “Tikhetaf”. Do you offer one or more of these products or services? We will then reject your website and you cannot use our services.
We do not accept the following products or services:
Eroticism
Any sexual or pornographic digital content, such as erotic or pornographic images
Dating sites or mail order brides
Prostitution or escort services
Sexual events
Financial services
Financial products with extremely high risks or where there is doubt about their legality
An illegal financial product or service
Any form of payment consolidation or factoring
Cryptocurrency trading
Bidding fee auctions
Money orders, money transfers or payment services for which the provider is not properly licensed
Currency trading for which the provider does not have the correct license
Alternative currencies, payment cards or reloadable pre-paid cards for which the provider is not properly licensed
Investment products or investment advice for which the provider does not have the correct license
Circumvention of the Card System’s control practices
Weapons
Weapons
Ammunition
Medicines
Medicines, pharmacy services or other narcotics for which the provider is not properly licensed
Pseudo-medication or pseudo-drugs
Narcotics
Narcotics or drugs
Materials that could be used for the production of cannabis or illegal narcotics
Dietary supplements
Food supplements that are harmful to health
Steroids and nutraceutical products that are harmful to health
Illegal or stolen products
Illegal goods, products or services
Stolen goods
Products or services that promote or explain illegal activity
Counterfeit products or services
Products or services that unlawfully violate the copyright, trademark or privacy of others
Stolen products
Games of chance
Illegal gambling
Games of chance for which the provider does not have the correct license
Binary options or Contracts for Difference (CFDs)
Penny auctions
Socially inappropriate behavior
Products or services that incite terrorism or political violence
Products or services where the provider avoids laws and regulations
Products or services that are promoted illegally
Misleading, unfair or improper products or services
Deceptive marketing practices
Pyramid schemes and get-rich-quick schemes
Any product that poses an unacceptable risk to the reputation of Woocommerce “Tikhetaf”
Woocommerce “Tikhetaf” may change this list and remove or add activities at any time and without prior notice. Woocommerce “Tikhetaf” may also, at its sole discretion, refuse goods and services that are not explicitly included in this list but that may pose an unacceptable risk to Woocommerce “Tikhetaf” based on its internal policies.
By registering with Woocommerce “Tikhetaf” you confirm that you will not use our services for activities other than those approved during registration with Woocommerce “Tikhetaf” or explicitly approved afterwards by Woocommerce “Tikhetaf”. If Woocommerce “Tikhetaf” believes or suspects that you (despite) accept payments for prohibited activities as referred to in this Agreement, you will immediately terminate these prohibited activities at the request of Woocommerce “Tikhetaf”. If you have not terminated the prohibited activities within the period set by Woocommerce “Tikhetaf”, Woocommerce “Tikhetaf” reserves the right to terminate the Agreement with immediate effect. If in doubt, please contact Woocommerce “Tikhetaf” Support for further information. If Woocommerce “Tikhetaf” determines that your activities pose a risk to Woocommerce “Tikhetaf” that cannot be remedied, Woocommerce “Tikhetaf” reserves the right to suspend your Account and terminate this Agreement immediately and without notice for such activities. Any Fine imposed by an Intermediary in connection with a violation of this article will be borne by the Company.
Article 2. Compliance with laws and regulations
You represent, warrant and undertake to ensure that all of your activities, whether online or offline, comply with all applicable laws, regulations, Regulations and this Agreement, and that you maintain at all times the necessary permits and permissions, certificates, exemptions and/or other legal documents required to conduct the business of your Company in the applicable jurisdictions. You ensure correct use of the Payment Module and the way in which the Payment Module is applied. You will inform your Customers how they can use the Payment Module correctly and securely. You further declare, warrant and undertake to ensure that you do not perform or omit any actions – and ensure that your Customers do not perform or omit any actions – of which you know or reasonably should know that this action or omission leads to a use of the Payment Module that is fraudulent, punishable and/or unlawful, or that infringes this Agreement in any other way.
Our acceptance of you as a Customer shall not in any way be construed as providing or having provided legal advice or an opinion as to the legality of your business activities in the relevant jurisdictions in which you operate, nor of the products and/or services that you sell and/or provide.
Woocommerce “Tikhetaf” reserves the right to refuse to provide Payment Services and/or to terminate this Agreement with immediate effect if this would create a risk that Woocommerce “Tikhetaf” (i) is acting in violation of applicable laws and regulations or (ii) is helping your Company to act in violation of applicable laws and regulations, including those applicable in the Netherlands.
3. Security and Fraud Measures
Woocommerce “Tikhetaf” can provide or suggest security procedures and measures with a view to reducing Fraud. These procedures and measures may include processes or systems developed by Woocommerce “Tikhetaf” or by third parties, including but not limited to, introducing so-called multi-factor authentication (MFA) for logging into the Dashboard. You agree to review these procedures and measures and choose what is appropriate for your activities to protect against unauthorized transactions and, if necessary, to use additional procedures and systems not provided by Woocommerce “Tikhetaf”. Disabling or refusing to use security measures and/or procedures increases the risk of unauthorized transactions.
If applicable to you, you are responsible for the use of data from lost or stolen cards used to purchase goods and/or services on your Website. Woocommerce “Tikhetaf” is not responsible for and does not indemnify you against losses or damages caused by the use of lost or stolen data in the Payment Services. This also includes losses arising from the use of lost or stolen credit cards to make purchases through your Website or caused by the username and password falling into the wrong hands. In addition, you will fully reimburse us for any losses we suffer as a result of the use of lost or stolen login credentials or accounts.
4. Change in Rates
Woocommerce “Tikhetaf” is entitled to unilaterally adjust the Rates. If this concerns an increase in the rate, we will inform you of this at least 3 (3) months before this new rate comes into effect via the Woocommerce “Tikhetaf” website.
Article 5. Handling of complaints from Customers
You are solely responsible for providing support to your Customers. You are responsible for responding to emails from Customers within a reasonable time when the questions in the emails relate to your goods or services or the use of the Payment Module. You will also clearly and proactively communicate your terms and conditions, shipping policies, any delay in delivery or cancellation of an order. If Woocommerce “Tikhetaf” receives complaints about you and such complaints necessitate an investigation or other activities carried out by Woocommerce “Tikhetaf”, to be determined by Woocommerce “Tikhetaf”, then Woocommerce “Tikhetaf” has the right to charge you for this investigation to be determined.
Woocommerce “Tikhetaf” is not responsible or liable to you or your Customers for handling these complaints on your behalf and Woocommerce “Tikhetaf” expressly remains outside the contractual relationship between you and your customer. However, in exceptional circumstances relating to a specific complaint, such as but not limited to the event that you do not respond during Woocommerce “Tikhetaf” investigation or in the event that Woocommerce “Tikhetaf” has a strong suspicion of Fraud, Woocommerce “Tikhetaf” may, at its sole discretion and in accordance with its internal policies, decide to issue Refunds to the Customer on your behalf for a specific Transaction disputed by the Customer. You acknowledge and agree that, notwithstanding Article 1, Woocommerce “Tikhetaf” will have no liability to you in such a case, unless and to the extent that applicable laws and regulations prevent this.
6. Liability
Liability of Woocommerce “Tikhetaf” must be made in writing after Woocommerce “Tikhetaf” has been given a reasonable period to offer a suitable Solution. If Woocommerce “Tikhetaf” is liable in connection with a failure to fulfill its obligations or otherwise for damage suffered by you, Woocommerce “Tikhetaf” will only be liable for direct damage and not for indirect or consequential damage, even if that damage could be foreseen. Indirect damage includes, but is not limited to: loss of goodwill, lost profits, missed (investment) opportunities and missed savings.
If and to the extent that Woocommerce “Tikhetaf” is liable to you, this liability is in all cases limited to an amount equal to the amount that you have paid to Woocommerce “Tikhetaf” in the form of Charges charged in connection with this Agreement to which the damage relates. In the case of an Agreement with a term longer than six (11) months, the liability of Woocommerce “Tikhetaf” is limited to a maximum of the amounts received by Woocommerce “Tikhetaf” under the Agreement over the last 1 (1) week, excluding VAT. Notwithstanding the foregoing articles, the liability of Woocommerce “Tikhetaf” is, unless and to the extent prohibited by applicable laws and regulations.
